Invest yourself in the alternative, and join an organization where you progress on merit, where you can speak openly with whoever you are speaking to, and where you will be supported along whichever path you choose to take.    Find out more about life at Alter Domusat (url removed)       12 month Fixed-Term Contract   JOB DESCRIPTION: Coordinate the group company secretarial governance function, cross jurisdictionally in delivering the highest quality of governance services to the Alter Domus group entities.  You will be responsible for overseeing and coordinating the group company secretarial function, working closely with local teams to establish exemplary and consistent corporate governance practices, providing team support, guidance, and ensuring the implementation of our strategic vision.     YOUR RESPONSIBILITIES WILL INCLUDE: •    Act as a coordination point for the in-house corporate governance leads cross jurisdictionally; •    Maintaining corporate calendars, meeting scheduling and diary management;    •    Assist alongside legal partners with corporate restructurings, share plans and inter group arrangements and be able to communicate with external parties as required;  •    Coordinate and work alongside jurisdictional leads to ensure successful completion of annual accounts for all group companies; •    Assist, working with legal counsel on maintenance of UBO records, ensuring relevant registries are kept up to date and coordinating group structure charts; •    Driving the adoption of Diligent entities (Blueprint) as a single source of record keeping in all jurisdictions and of Diligent Boards for preparation and maintenance of board packs for all in house entities globally; •    Building and maintaining strong relationships and key processes for the group and jurisdictional governance requirements; •    Building and maintaining strong internal relationships with key stakeholders e.g. senior leadership and within the wider business; •    Oversee group KYC requests supported by local teams along with supporting and coordinating corporate approvals required for any bank account openings; •    Keeping up to date with legal and regulatory developments relating to corporate governance; •    Driving process improvements and efficiencies as well asdeveloping and implementing best practices for corporate governance, including ensuring appropriate POA’s are in place, board compositions maintained, and sufficient board meetings are convened in accordance with local requirements; •    Serve as a key point of contact for AD boards of directors, representing the group co sec function at the highest levels;   •    Overseeing the delivery of AD internal corporate secretarial practices by ensuring that the local teams deliver high quality corporate secretarial service, including board support, statutory filings and compliance with all legal and regulatory requirements relating to corporate governance; •    Encouraging a positive atmosphere and collaborative environment within the internal service function;  •    Setting the tone for the company secretarial service line across the in-house function; and •    Promoting interaction with local teams to establish protocol for the AD in house governance style.   YOUR PROFILE: •    Holding a university degree and/or relevant professional qualification (Chartered Governance Institute or equivalent) or be working towards one; •    Having at least 5 years of company secretarial experience (preferably in a professional financial services environment); •    Having a general understanding of other areas such as KYC/AML, tax, accounting, regulatory and data protection requirements; •    Knowledge of Diligent Entities (Blueprint) and Diligent Board would be an asset; •    Capacity to build strong relationships with key stakeholders, and take initiative to act without waiting for direction when appropriate; •    You possess good communication and management skills and are able to delegate work where required; •    You adopt a flexible and hands-on approach; •    You are organised with an eye for detail and are able to plan;
